End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("you," "User," or "Licensee") and C.W. Wood Plumbing ("Company," "we," "us," or "our"), located at 1328 Romney St, Jacksonville, FL 32211, regarding your access to and use of the C.W. Wood Plumbing Operations App (the "App"), including any related documentation, updates, and integrations (including QuickBooks Online).

By accessing or using the App, connecting a QuickBooks Online company file, or clicking to accept this Agreement, you agree to be bound by these terms. If you do not agree, do not use the App.

1. The App

The App is an internal operations and accounts-receivable tool used by authorized staff of C.W. Wood Plumbing. Features may include (without limitation) management of customers/projects, jobs, quotes/estimates, invoices, payments, vendors, items, employee access, file attachments, emailing of invoices, reporting, and optional syncing with QuickBooks Online.

The App is provided for business use by the Company and its authorized users only. It is not a consumer product offered to the general public as a standalone SaaS subscription unless we expressly state otherwise in writing.

2. Eligibility and accounts

• You must be at least 18 years old and authorized by the Company to use the App.
• Access may require a Google account and/or an employee username and password issued by management.
• You are responsible for keeping login credentials confidential and for activity under your account.
• Notify management immediately if you suspect unauthorized access.
• We may suspend or revoke access at any time for security, policy, or operational reasons.

3. License grant

Subject to this Agreement, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the App solely for Company's legitimate business purposes and only in accordance with your assigned role and permissions.

This license does not sell or transfer ownership of the App or any Company intellectual property to you.

4. License restrictions

You agree not to:

• Copy, modify, reverse engineer, decompile, or create derivative works of the App, except where prohibited restrictions are not allowed by law;
• Rent, lease, sell, sublicense, or provide the App to third parties;
• Bypass security, authentication, or access controls;
• Use the App to violate law, infringe rights, or transmit malware;
• Attempt to access data, companies, or accounts you are not authorized to access;
• Misuse QuickBooks Online credentials, tokens, or API access granted through the App;
• Interfere with the App's operation, integrity, or availability.

5. QuickBooks Online integration

The App may connect to QuickBooks Online services provided by Intuit Inc. ("Intuit") using OAuth and Intuit's APIs. If you (or an authorized administrator) connect QuickBooks:

• You represent that you have authority to grant the App access to the selected QuickBooks company;
• You authorize the App to access accounting-scoped data as permitted by Intuit and by the permissions you approve during connection;
• Depending on settings, the App may pull data from QuickBooks into the App and, if bidirectional mode is enabled by management, may push certain records back to QuickBooks;
• QuickBooks remains the system of record for bookkeeping unless management configures otherwise;
• Intuit's products are subject to Intuit's own terms and privacy practices. Company is not Intuit and is not responsible for Intuit service outages, API changes, or Intuit account issues.

You may disconnect QuickBooks from the App at any time using the App's disconnect controls (subject to your permissions). Disconnecting stops new API use under stored tokens but does not automatically delete historical copies already stored in the App.

6. Your content and company data

"Company Data" means customers, jobs, invoices, payments, files, employee records, QuickBooks-synced data, and other information entered into or processed by the App.

• As between you and Company, Company owns or controls Company Data as part of its business records.
• Authorized users may create, view, edit, export, or sync Company Data only as permitted by their role.
• You must not enter data you are not authorized to handle, and you must follow Company policies on confidentiality and customer privacy.

7. Third-party services

The App relies on third-party platforms that Company does not control, which may include Google (Apps Script, Sheets, Drive, Gmail/email delivery), Intuit/QuickBooks Online, and hosting providers for related websites. Your use of those services may be subject to their separate terms. We are not responsible for third-party failures beyond our reasonable control.

8. Intellectual property

The App, branding, software, designs, documentation, and related materials are owned by Company and/or its licensors and are protected by intellectual property laws. All rights not expressly granted are reserved.

QuickBooks, QuickBooks Online, and Intuit logos/marks are trademarks of Intuit Inc. Their use here does not imply endorsement beyond describing the App's integration capability.

9. Privacy

Use of the App is also governed by our Privacy Policy, which describes how information is collected, used, stored, and shared (including QuickBooks-related data).

10. Support and updates

Company may update, modify, suspend, or discontinue features of the App at any time. We do not guarantee uninterrupted or error-free operation. Support is provided internally according to Company practices unless a separate written support agreement applies.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS, BE ACCURATE, OR BE FREE OF ERRORS OR SECURITY VULNERABILITIES.

Accounting, tax, and billing outcomes depend on user inputs, configuration, and third-party systems. You remain responsible for verifying financial records and complying with applicable accounting and tax obligations.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE APP OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY'S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE APP OR THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

13. Indemnification

To the extent permitted by law and your employment/contractor relationship with Company, you agree to indemnify and hold harmless Company from claims arising out of your misuse of the App, unauthorized QuickBooks access grants, or violation of this Agreement or applicable law, except to the extent caused by Company's willful misconduct.

14. Termination

This Agreement is effective until terminated. Your rights under this Agreement end automatically if you breach it. Company may terminate or suspend access at any time. Upon termination, you must stop using the App. Sections that by their nature should survive (including ownership, disclaimers, liability limits, and governing law) will survive.

15. Export and lawful use

You must use the App in compliance with all applicable laws, including privacy, employment, and export control laws.

16. Governing law

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules. Exclusive venue for disputes arising under this Agreement will be the state or federal courts located in Duval County, Florida, unless applicable law requires otherwise.

17. Changes to this Agreement

We may update this Agreement by posting a revised version on this page with an updated "Last updated" date. Continued use of the App after changes become effective constitutes acceptance of the revised Agreement, except where additional consent is required by law.
